Terms of Service
The ground rules for using this website and agreeing social media services with Kensley Momentum.
1. Who we are and what these terms cover
Kensley Momentum is a digital marketing agency focused on social media management for businesses. The company began operating on October 1, 2026. These terms explain the use of our public website and the general basis on which we discuss, quote and provide our services. References to “we,” “us” and “our” mean Kensley Momentum; “you” means the visitor or business engaging us.
Browsing this website does not purchase a service or create a management relationship. A paid engagement begins only when the parties accept a written proposal or service agreement that identifies the work, price and relevant dates. If that agreement expressly differs from these website terms, its specific provisions govern that engagement, subject to applicable law.
2. Using the website
You may use this website to learn about our services, review prices, read policies and prepare an enquiry. You must use it lawfully and must not interfere with its operation, attempt unauthorised access, upload malicious material, misrepresent your authority or use its content to deceive another person. You are responsible for the device and connection you use.
The website is intended for people authorised to make enquiries on behalf of a business. Do not include passwords, payment card information, identity documents or confidential customer records in a project brief. We may decline an enquiry that falls outside our work or would require access or activity that the business cannot lawfully authorise.
3. Project briefs and website confirmation
The project-brief form validates the information you enter and displays an on-screen confirmation and reference. In this version of the website, the form operates in your browser and does not send an email, create a support ticket or deliver your entered details to our server. The displayed reference is a convenient identifier for a later conversation, not proof of delivery or acceptance.
To request a response, contact us using the email or phone information shown in the project section and include the reference if helpful. Preparing a brief does not reserve availability, approve a quotation or require us to start work. A service is not ordered until the scope and commercial terms have been agreed in writing.
4. Services and scope
Our work may include social media planning, preparation of content from approved source materials, caption writing, scheduling, publishing, community management and reporting. Each service has a defined scope. Platform count, publication volume, revision allowance, response coverage, deliverable format and deadlines are confirmed before the engagement starts.
Unless expressly included, services do not cover paid advertising spend, on-location photography, original filming, influencer payments, customer-service emergencies, sales closing, website development or third-party subscriptions. A standalone service is not automatically included in another purchase. Where work overlaps, we identify that overlap in the proposal so the same deliverable is not billed twice.
5. Prices, proposals and payment
Displayed prices are in United States dollars and describe the listed service scope. A written proposal confirms the total price, payment timing and any applicable taxes or agreed additional costs. The site does not contain a checkout or take payment-card details. Payment instructions, where needed, are supplied with an invoice or agreement.
We may change prices for future enquiries without changing an accepted engagement. A quotation remains valid for the period stated in it; if no validity period is given, we confirm availability and pricing before acceptance. Work outside an approved scope requires written approval of the extra work and its charge. We do not infer approval of additional costs from silence.
6. Information, assets and access you provide
You must provide accurate business information, current brand guidance and materials that you are authorised to use. You are responsible for the accuracy of product claims, promotions, prices, testimonials, regulated statements and customer details supplied to us. Tell us promptly if those details change or a scheduled item should be withdrawn.
Account access should use the platform’s business permissions wherever possible. Keep ownership of your accounts and limit permissions to the agreed work. Do not send passwords through the project form. You must ensure that your instructions are lawful and that any person granting access is authorised by the account owner.
7. Content approval and timing
We agree an authorised approver and a review schedule. Unless the written agreement says otherwise, content requires your approval before publication. Silence is not approval. Provide consolidated comments so the stated revision allowance can be applied efficiently. A change of direction after approval may require a revised scope.
Late access, missing materials, delayed feedback or conflicting instructions can move production and publication dates. We will discuss the effect on the plan rather than promise deadlines that depend on unavailable inputs. If a genuinely urgent correction is needed, contact us promptly; emergency or out-of-hours coverage is not included unless specifically agreed.
8. Platforms and third-party systems
Social networks and other providers control their own rules, algorithms, features and availability. Account restrictions, outages, security checks, approval delays and changes to analytics can affect the work. You remain responsible for complying with the relevant platform terms and maintaining any subscriptions required for the engagement.
We do not control a third-party platform and cannot guarantee that a post will be accepted, remain available or reach a particular audience. When a platform change affects the agreed plan, we discuss practical alternatives. Any third-party purchase or additional spend requires your approval; it is not authorised merely by starting an enquiry.
9. Results and reporting
We commit to carrying out the agreed deliverables with reasonable care and skill. We do not promise a particular follower count, reach, engagement rate, lead volume, ranking or sales result. Outcomes depend on your offer, audience behaviour, platform decisions, available source material and other factors outside our control.
Reports reflect the analytics and access available at the time of review. Platform definitions and historical data may change. A report is a record of observations and recommendations, not an audited financial statement or a guarantee of future performance. You remain responsible for business decisions made using the information.
10. Ownership and permitted use
You retain ownership of the source materials you supply. You grant us the permission needed to prepare, adapt, schedule and publish those materials for the agreed service. Rights in final original deliverables are addressed in the written agreement and the Content Rights & Acceptable Use Policy, including any payment conditions and third-party licence restrictions.
Our pre-existing methods, working templates, reusable tools and internal notes remain ours unless expressly transferred. Fonts, stock assets, software and other third-party materials remain subject to their licences. Website editorial images illustrate the service context and do not identify clients or establish that a depicted business is a customer.
11. Confidentiality and privacy
Each party should use confidential information received during an engagement only for the authorised work and share it only with people who need it for that purpose. Information already public, independently developed or lawfully received without a confidentiality restriction is not covered in the same way. Required legal disclosures may be made in accordance with applicable law.
Our Privacy Policy explains the public website’s handling of information and the distinction between browser-only form entries and information actually sent to us. An engagement involving customer records, private messages or sensitive account access may require additional written instructions about processing, access, retention and deletion.
12. Cancellation, pauses and service concerns
The Service & Cancellation Policy describes our standard approach to cancellation notices, work already completed, unused prepaid amounts and handover. Your signed agreement may set different notice periods or project milestones. Cancelling a service does not automatically transfer third-party contracts or remove charges legitimately incurred with your approval.
If work does not match the agreed scope, describe the issue promptly and identify the affected deliverable. We will review the concern and discuss an appropriate correction, credit or other remedy where warranted. Nothing in these terms removes rights or remedies that applicable law does not allow the parties to exclude.
13. Reasonable limits and mandatory rights
To the extent permitted by applicable law, neither party is responsible for indirect losses that are not a reasonably foreseeable result of the other party’s breach. We are not responsible for platform outages or a client’s inaccurate source material merely because they affect a campaign. These provisions do not excuse our own failure to perform the work we agreed.
Nothing in these terms excludes liability for fraud, wilful misconduct or any liability that cannot lawfully be limited. No particular limitation should be read as overriding a mandatory statutory right. Any engagement-specific liability cap must be set out in the accepted agreement; the website does not impose an undisclosed financial cap.
14. Resolving a disagreement
Please contact us first with a description of the issue, relevant dates and any supporting records. We aim to discuss service concerns directly and in good faith. Keeping proposals, approvals and invoices helps both parties understand what was agreed and what occurred. We do not require a visitor to accept an arbitration clause merely to browse this site.
Unless a written engagement agreement provides otherwise, these terms are interpreted under Montana law, subject to any mandatory law that applies to the parties. A competent court may determine a dispute that cannot be resolved directly. This provision does not remove any legally required venue or non-waivable consumer protection.
15. Changes and contact
We may update these website terms to reflect changes in the website or our services. The last-updated date identifies the current text. Changes do not retrospectively rewrite an accepted service agreement. A material change affecting ongoing work should be discussed through the engagement’s agreed communication process.
If part of these terms is found unenforceable, the remainder continues to apply to the extent permitted by law. A failure to enforce a term on one occasion does not automatically waive it for the future. Questions about these terms can be sent to the contact details below.
